Limitation and Condition
The terms and conditions as set forth herein as well as any additional terms and conditions that may appear on the face hereof shall constitute the entire agreement between AOTK , Inc. and Buyer. ATOP will not be bound by any terms of Buyer's order that are inconsistent with the terms herein. Acceptance by Buyer of these terms may be made either (a) by written acceptance, or (b) by receipt by Buyer of delivery of any products described on the face of this Form ("Products") and failure by Buyer to return the Products within five (5) days following such delivery. The Agreement shall not be modified except in writing, signed by the parties hereto. No waiver by ATOP of any default or provision hereof shall be deemed a waiver of any subsequent default or provision.

Purchasing Information
Purchase orders may be placed via fax, email, online, regular mail or phone. All verbal orders must be followed by written confirmation. Once approved, ATOP will reply an order confirmation.

To accept an order we need the following information:
Product description
Quantity

We also need the following information about our customers:
Complete company name
Billing address
Shipping address
Purchase order number
Contact name and phone number

Specifications
We do our best to offer accurate information on our products. Customers should always verify the suitability of a product for its intended use. If a particular specification is crucial, please check before ordering.

Technical specifications are subject to change without notification as we make design changes and improvements.

Shipment
Unless given written instruction, ATOP shall select the carrier such as FedEX, UPS, DHL, etc. ATOP will select the most efficient and economical method for your order.

If you have a preferred shipping carrier, we will need the name, address, phone number of your shipper, and your account number. Default shipping and handling charges are prepaid and added to your invoice.

Price
All prices are in US dollars or EURO dollars and subject to change without advanced notice. All products are shipped FOB Xiamen, China. The valid period of quotations is 60 days.

Any tax or other charge which ATOP is liable to collect on behalf of any governmental authority as a result of the sale, use or delivery of products, including without limitation, duties, value added and withholding taxes, is the responsibility of the customer, and if paid by ATOP shall be charged to Customer as a separate item on the invoice, to the extent possible.

Discounts are available for volume purchases and OEM customers. Please contact us for details or further information.

Lead Time
Lead time for all stock items will be within 24 hours unless the required item is out of stock. Lead time of customized orders will be estimated and given in our formal quotation.

Payment
All payments are in US dollars or EURO dollars unless otherwise approved. Invoice amount includes total price of items, shipping and handling charges. Upon approved credit by ATOP payments terms shall be net 30 days from date of invoice by wire transfer. ATOP reserves the right to require alternative payment terms including, without limitation, letter of credit or payment in advance.

a) Cash Buyer has the option of paying via a money order, or cashiers check. Personal and business checks will be accepted.

b) The best and the fastest way your payment can reach us is by Western Union system,

c) Credit Card, all major credit cards will be accepted. Buyer has the choice of ordering online, send us a email, or calling directly to place an order.

Inspection and Acceptance
The Buyer shall have the right to inspect the goods upon tender of delivery. Failure of the Buyer to inspect the goods and give written notice to ATOP of any alleged defect or nonconformity within thirty (30) days after tender of delivery shall constitute an irrevocable acceptance by Buyer of the goods delivered to him, provided the goods for which ATOP agrees in writing to provide installation by its personnel, shall be deemed accepted by Buyer upon completion by Seller of its applicable acceptance tests or execution of Seller's acceptance form by Buyer. Notwithstanding the foregoing, use of any such goods by Buyer, its agents, employees or licensees, for any purpose after delivery thereof, shall constitute acceptance of the goods by Buyer.

Warranty
All products are guaranteed to be free from defects in material and workmanship for a period of time and under such conditions as specified in ATOP's warranty for the individual product. A period of twelve (12) months from date of shipment for DPSS lasers. ATOP reserves the right to repair or replace defective products at our option. This warranty does not apply to failure of the product due to misuse, abuse, accident, or neglect. Our liability is limited to the price of the part or service we are providing.

Returns and RMA
The Products may not be returned to ATOP without first obtaining ATOP's consent. The request for return and credit must be filed with ATOP and shall include purchase order number, approximate date shipped and any and all other identifying numbers (such as invoice number, date of invoice, P.O. numbers, etc.). Each request for return of Products for credit should state the type and quantity of goods, the part numbers and the reasons for the return. If return authorization is granted, Products shall be returned in a clean, well packaged condition. No credit allowance on defectives will be made and no replacement for defectives will be shipped in any event, unless the alleged defectives are, among other things, established to Seller's satisfaction after suitable testing and inspection by Seller.

AOTK will only accept products returned under the ATOP Return Material Authorization (RMA) process. Customer shall obtain a RMA number from ATOP prior to returning any product and return the product prepaid and insured to ATOP. Any Product which has been returned to ATOP, but which is found to meet the applicable specification for the product and not defective in workmanship and material, shall be subject to ATOP standard examination charge in effect at the time which shall be charged to the Customer. Where any product is returned without any itemized statement of claimed defects, AOTK will not evaluate the product but will return it to the customer at the customer's expense.
